[Promo] Seeking senior counsel for a bank

My firm is seeking a candidate for a Senior Counsel position for a growing
Community bank (Queens location)
Position could be GC for the right person



Senior Counsel, essential responsibilities include:

·         Provides essential and strategic legal advice to all levels of
Management.

·         Advises and manages litigation in which the Corporation is a
party, including coordinating prosecution of claims against third parties,
defending claims against the Corporation and EEO matters.

·         Monitors pending litigation and assesses exposures and provides
advice to Executive Management and the Board of Directors (BOD) as needed.

·         Directly represents the Bank during legal proceedings on matters
not referred to outside counsel.

·         Advises Senior Management and Employees concerning Banking laws
and regulations.

·         Stays up to date on all compliance issues and related legislation.

·         Provides advice relating to the structuring, drafting,
negotiating and closing of transactions entered into with third parties by
the Corporation or any of its business units, including acquisitions,
divestitures and real estate transactions etc.

·         Advises the Lending team on transactional closing matters and the
Workout group on collection and foreclosure matters.

·         Reviews, drafts and negotiates contracts and other agreements.

·         Identifies and manages services provided by outside counsel.

·         Provides general and specific advice and support to all business
units.

·         May serve as Secretary for the Bank.  May also serve on other
standing management committees as determined by the CEO.

·         Updates and advises the BOD and Senior Management on legal and
regulatory developments, as well as corporate governance issues.

·         Ensure compliance with the corporate charter and other governing
documents.

*Skills Needed*

·         Comprehensive knowledge of laws and regulations governing Banks.

·         Knowledge of Bank compliance and the Community Reinvestment Act.

·         Thorough understanding of Bank procedures and policies.

·         Real Estate finance transactional experience preferred.

·         Demonstrated management skills.

·         Proven decision making skills.

·         Excellent verbal and written communication skills.

·         Ability to handle multiple tasks and work under pressure in a
systematic way.

·         Ability to work independently or in a team setting.

·         Intermediate skills in Microsoft Suite products, West Law or
Lexis-Nexis.

*Qualifications Required*

Doctorate or better in Law or related field.

7+ years previous experience with general counseling in a banking business
environment or a law firm servicing banking clients
