[Fredslist] question about independent contractor and co. affiliation

I am in a middle of signing a contract with a company that hires me to
manage medical insurance issues for the company's client. To be exact I am a
subcontractor to company 1, that hires me to take care a client, that is
company 2.
 
My question is:  can an LLC be hired as an independent contractor in New
York? 
The client wants to hire me, not my company, based on the assumption that a
company cannot be hired as an independent contractor.
 
For my insurance person:  does my E&O insurance covers me if I am hired
under my name and not a company name?
