[Fredslist] legal question on election of corporate officers

[Donald Bernstein]

I have a legal question as to whether a shareholder's agreement which
appoints and identifies the officers and directors of a corporation
prohibits the shareholders' from electing new officers and directors at
an annual meeting.  If anyone in the lawyers group has experience with
this I would like to talk to you.
