      BUSINESS TAX     (PHILADELPHIA)


      The  Business Tax Team of the Corporate & Securities Group seeks to
      hire an associate in the Philadelphia office.   Candidate should
      possess 3-6 years (Level-II) experience in drafting the tax-related
      provisions of corporate and real estate transactional agreements,
      disclosure documents, tax opinions and partnership agreements.  We
      are most interested in a candidate with a working knowledge of the
      key tax aspects of corporations, tax-exempt entities, partnerships
      and/or investment funds.
