A leading provider of marketing information and business media products and services is looking to hire a senior level paralegal for their central Fairfield County, Connecticut office. Our client is looking for a savvy veteran with 10+ years of experience as a paralegal in a corporate legal department and/or a law firm who has the following skill set:
a.. Schedule and set-up board meetings and prepare agendas;
b.. Prepare and distribute all board communications and materials;
c.. Act as a centralized communications resource for each of the Company's board members and their staff and executive managers for all board-related administrative matters including compensation, securities filings, and disclosure;
d.. Prepare board consents and resolutions;
e.. Identify and manage interdepartmental corporate governance and compliance calendar;
f.. Assist Legal and Finance Departments and external auditors with SEC filings;
g.. Assist in the compilation of information in connection with due diligence, corporate and regulatory filings;
h.. Assist VP of Corporate Communications with preparation and issuance of press releases;
i.. Track stock grants and option exercises and assist in the administration of the Company's equity plan;
j.. Corporate recordkeeping;
k.. Debt compliance administration;
l.. Manage outside counsel
